Terms of Service

Last updated: · Effective: 1 November 2026

These Terms of Service (“Terms”) govern your use of the iPO Hub platform operated by iPO Hub Limited, a company incorporated in England and Wales (“iPO Hub”, “we”, “us”, “our”). By creating an account or using the platform, you agree to these Terms.

1Definitions

  • "Platform"The iPO Hub software-as-a-service platform, including iPO Core, iPO Comply, and iPO Autonomy, accessible at ipohub.co.uk and associated subdomains.
  • "Account"A registered user account on the Platform.
  • "Subscriber"A landlord, SPV director, property manager, or fund operator who has created an Account and subscribed to a paid plan.
  • "Property"A residential property managed through the Platform.
  • "Tenancy"A tenancy agreement between a Subscriber (as landlord) and a tenant, managed through the Platform.
  • "Compliance Event"Any statutory obligation, certificate renewal, notice, or repair event recorded in the Platform.
  • "Audit Ledger"The SHA-256 hash-chained append-only record of all Compliance Events.
  • "Direct Rail"The architectural invariant by which rent flows directly from tenant to landlord without passing through iPO Hub.

2Account Registration and Eligibility

To use the Platform you must:

  • Be at least 18 years of age.
  • Be a landlord, property manager, SPV director, or fund operator with a legitimate interest in managing residential property in the United Kingdom.
  • Provide accurate and complete registration information.
  • Maintain the security of your Account credentials.
  • Notify us immediately of any unauthorised access to your Account.

Corporate entities (SPVs, LLPs, funds) must be registered at Companies House or equivalent. The individual creating the Account warrants they have authority to bind the entity.

3Subscription and Payment

Access to the Platform beyond the free trial requires a paid subscription. Subscriptions are billed per active property per month (or annually at a discounted rate).

  • Subscription fees are charged in advance at the start of each billing period.
  • All prices are exclusive of VAT unless stated otherwise.
  • Payment is processed by our PCI-DSS compliant payment processor. We do not store card details.
  • Upgrades take effect immediately and are prorated. Downgrades take effect at the next billing cycle.
  • Subscriptions auto-renew unless cancelled before the renewal date.
  • We reserve the right to change pricing with 30 days' written notice.

4Direct Rail Invariant — No Rent Custody

iPO Hub does not and will never hold, route, process, or have custody of rental income. The Direct Rail Invariant is a fundamental architectural and contractual commitment:

  • Rent must be paid by tenants directly to landlords via standing order or bank transfer.
  • iPO Hub charges a separate subscription fee for platform access.
  • iPO Hub is not a payment service provider, client money handler, or letting agent for the purposes of the Client Money Protection Schemes for Property Agents (Requirement to Belong to a Scheme etc.) Regulations 2019.
  • Subscribers must not instruct tenants to pay rent to iPO Hub.

5Acceptable Use

You agree not to:

  • Use the Platform for any unlawful purpose or in violation of any applicable law or regulation.
  • Upload false, misleading, or fraudulent compliance data.
  • Attempt to circumvent, disable, or interfere with the Platform's security features.
  • Reverse engineer, decompile, or disassemble any part of the Platform.
  • Use the Platform to harass, discriminate against, or unlawfully evict tenants.
  • Share Account credentials with unauthorised third parties.
  • Use automated tools to scrape, crawl, or extract data from the Platform without written consent.
  • Introduce malware, viruses, or malicious code into the Platform.

6Data, Privacy, and the Audit Ledger

Your use of the Platform is subject to our Privacy Policy, which is incorporated into these Terms by reference.

The Audit Ledger is an append-only, SHA-256 hash-chained record. By design, entries in the Audit Ledger cannot be deleted or modified. This is a deliberate architectural feature required for CPR Part 39 compliance and evidentiary integrity. You acknowledge and accept this immutability as a condition of using the Platform.

You are the data controller for tenant personal data processed through the Platform. iPO Hub acts as your data processor. You are responsible for ensuring you have a lawful basis for processing tenant data and for complying with your obligations under UK GDPR and the Data Protection Act 2018.

7Intellectual Property

The Platform, including all software, algorithms, designs, trademarks, and content, is owned by iPO Hub Limited and protected by intellectual property laws. These Terms grant you a limited, non-exclusive, non-transferable licence to use the Platform for your internal business purposes.

You retain ownership of all data you upload to the Platform. You grant iPO Hub a limited licence to process your data solely for the purpose of providing the Platform services.

8Disclaimers

The Platform is provided “as is” and “as available”. iPO Hub does not warrant that the Platform will be uninterrupted, error-free, or free from security vulnerabilities.

The Platform does not constitute legal advice. Compliance information, statutory references, and notice templates are provided for informational purposes only. You should seek independent legal advice for your specific circumstances. iPO Hub accepts no liability for reliance on Platform-generated compliance information without independent verification.

iPO Hub is not a regulated letting agent, property manager, or financial adviser. The Platform is a technology tool to assist landlords in managing their own compliance obligations.

9Limitation of Liability

To the maximum extent permitted by law, iPO Hub's total liability to you for any claim arising from or related to these Terms or the Platform shall not exceed the total subscription fees paid by you in the 12 months preceding the claim.

iPO Hub shall not be liable for any indirect, incidental, special, consequential, or punitive damages, including loss of profits, loss of data, or loss of goodwill, even if advised of the possibility of such damages.

Nothing in these Terms limits liability for death or personal injury caused by negligence, fraud, or any other liability that cannot be excluded by law.

10Termination

You may cancel your subscription at any time through your Account settings. Cancellation takes effect at the end of the current billing period. No refunds are provided for partial periods.

iPO Hub may suspend or terminate your Account immediately if you breach these Terms, fail to pay subscription fees, or engage in conduct that poses a risk to the Platform or other users.

On termination, you may export your data for 30 days. After this period, your data will be deleted in accordance with our Privacy Policy, subject to statutory retention obligations.

11Governing Law and Disputes

These Terms are governed by the laws of England and Wales. Any dispute arising from or related to these Terms shall be subject to the exclusive jurisdiction of the courts of England and Wales.

Before commencing legal proceedings, you agree to attempt to resolve any dispute by contacting us at [email protected]. We will endeavour to respond within 10 business days.
